1. About These Terms

These Terms & Conditions apply to website design, development, Website Care, Website Care Plus and related services provided by We Forge Growth.

We Forge Growth is a trading name of Neil Heyes, a sole trader operating in the United Kingdom.

By accepting a quotation, paying a deposit or instructing us to begin work, you agree to these Terms together with any quotation, proposal or written scope of work we provide.

Where an accepted quotation or written project scope contains specific terms that differ from these general Terms, the specifically agreed project terms will take precedence.

2. Website Packages

Our standard website packages are:

• Business Website — £1,500
  Up to 10 pages.
• Business Plus — £2,000
  Up to 15 pages.
• Business Pro — £2,500
  Up to 20 pages.

Additional pages beyond the agreed package are charged at £150 per page, unless otherwise agreed in writing.

The difference between our packages is primarily the size and content capacity of the website, not the standard of design. Every We Forge Growth website is designed and built to the same professional standard.

Prices displayed on our website may change from time to time. The price applicable to your project will be the price confirmed in your accepted quotation.

3. What's Included

The precise scope of each website project will be confirmed before work begins.

Depending on the agreed package and requirements, a standard website may include:

• Bespoke professional website design
• Up to the agreed number of pages
• Fully responsive mobile, tablet and desktop design
• Professional navigation and page structure
• Contact and enquiry forms
• Calls to action and enquiry journeys
• Click-to-call and email functionality
• Social media integration
• Google Maps integration where appropriate
• SEO-ready website structure
• Logical heading structure
• Page titles and meta descriptions
• Image optimisation
• Website performance optimisation
• Google Analytics setup
• Google Search Console setup
• Domain connection
• SSL setup
• Straightforward integration of an existing booking system where agreed
• Professional website copy preparation based on information supplied by the client
• Reasonable use of suitable stock imagery where required
• Optimisation of client-supplied imagery
• Two rounds of reasonable revisions
• Website launch and handover

The inclusion of individual features will depend upon the requirements and agreed scope of the particular website.

4. Additional and Specialist Requirements

Our standard packages are designed to cover the requirements of most startups and small to medium-sized business websites.

Requirements outside the standard package may be quoted separately. These can include:

• E-commerce
• Advanced booking systems
• Membership areas
• Customer portals
• Advanced forms
• Additional landing pages
• Large-scale content migration
• Advanced third-party integrations
• Bespoke website functionality
• Logo and branding work
• Professional photography
• Videography
• Additional SEO work

If additional requirements become apparent during a project, we will discuss these with you before undertaking chargeable additional work.

5. Client Responsibilities

To allow us to complete your website efficiently, you agree to provide information and materials reasonably requested for the project.

These may include:

• Information about your business
• Details of your products or services
• Contact information
• Logos and branding
• Photographs
• Existing website content
• Domain information
• Required access credentials
• Feedback and approvals

You are responsible for ensuring that information supplied to us is accurate and that you have the necessary rights and permissions to use any text, images, logos, trademarks or other materials you provide.

You must not knowingly provide material that infringes another person's copyright, trademark, privacy or other legal rights.

6. Website Content

Where website copy preparation is included, we will prepare or refine website content using information provided by you and appropriate modern content-production tools.

You remain responsible for reviewing and approving the final content before publication.

In particular, you are responsible for checking:

• Business information
• Prices
• Service descriptions
• Product information
• Professional or technical claims
• Regulatory statements
• Contact details
• Terms specific to your own business

Unless separately agreed, our website packages do not include extensive independent research, specialist technical authorship, legal drafting or regulated-industry compliance advice.

7. Images and Media

We may use a combination of client-supplied images and appropriately licensed stock imagery when creating your website.

You are responsible for ensuring that you have permission to use photographs, logos, graphics and other material supplied to us.

Professional photography, videography, bespoke illustration and other specialist creative work are not included unless specifically agreed.

8. Project Timescales

Some standard business websites may be capable of being designed and launched in as little as approximately 14 days.

This is an indicative timescale and not a guaranteed completion date.

Delivery depends upon factors including:

• Receiving the required information and content promptly
• Receiving appropriate access credentials
• The complexity of the website
• Prompt client feedback
• Prompt approval of designs and content
• Third-party services operating correctly

Where information, feedback or approval is delayed, the expected completion date may also be delayed.

We are not responsible for delays caused by matters reasonably outside our control.

9. Revisions

Our standard website packages include two rounds of reasonable revisions.

A revision round means a consolidated set of reasonable amendments provided after reviewing the relevant website design or project stage.

Revision rounds are intended to refine the agreed website. They do not include:

• Starting again with an entirely different design direction
• Significant changes to the agreed project scope
• Large amounts of new content
• Additional pages beyond the agreed package
• New functionality not included in the original quotation
• Repeated individual changes submitted after an agreed revision round

Additional revisions or work outside the original scope may be quoted separately.

10. Changes to the Project Scope

If you request work outside the agreed project scope, we will explain where reasonably practicable whether an additional charge will apply before undertaking that work.

Additional work may be charged at an agreed fixed price or other agreed rate.

We are not obliged to undertake work that falls substantially outside the services offered by We Forge Growth.

11. Website Project Payments

Unless otherwise agreed in writing, all standard website projects are payable as follows:

• 50% deposit before work begins.
• 50% final balance before the website is launched.

The initial 50% payment secures the project and allows design and development work to commence.

Work will not normally begin until the initial payment has been received.

Once the website has been completed and the agreed revision rounds have been undertaken, the remaining 50% balance becomes payable.

The completed website will not normally be launched, transferred or handed over until the final balance and any other amounts due for the project have been paid in full.

Additional work agreed outside the original project scope may be invoiced separately.

We reserve the right to pause work or withhold launch where an invoice is overdue.

12. Deposits and Project Cancellation

The initial 50% project payment is a deposit against the website design and development work.

Once work has commenced, the deposit may be used to cover work already undertaken, project time reserved, resources committed and reasonable costs incurred.

If you cancel the project after work has commenced, the deposit will not normally be refundable to the extent that it represents work performed or losses reasonably incurred as a result of the cancellation.

If the value of work completed and reasonable costs incurred exceeds the amount already paid, we reserve the right to invoice for the additional amount.

If We Forge Growth is unable to proceed with a project for reasons within our control before substantive work has commenced, any appropriate refund will be discussed with the client.

Nothing in these Terms affects any statutory rights that may apply.

13. Client Delays and Dormant Projects

If we cannot progress your project because information, content, access, feedback or approval has not been provided, the project may be placed on hold.

The original estimated delivery date may no longer apply and the project may need to be rescheduled according to availability.

Where a project remains inactive for more than 60 days because required client input has not been provided, we may treat the project as suspended.

Any outstanding invoices may need to be settled before work resumes.

Significant changes requested after a lengthy period of inactivity may be treated as additional work.

14. Approval and Website Launch

Before launch, you will have a reasonable opportunity to review the website and request amendments within the agreed revision allowance.

Approval to launch confirms that you are satisfied with the website, subject to any outstanding items specifically agreed between us.

We will take reasonable care during the launch process but cannot guarantee uninterrupted operation of external hosting, domain, email, API, booking or other third-party services.

15. Domain Names

Where you already own a domain name, we can normally connect your new website to that domain as part of the launch process.

Your existing domain remains yours.

Where we assist with purchasing or configuring a domain, ownership and renewal responsibilities will be agreed with you.

Clients are responsible for ensuring their domain registration remains current unless domain renewal has expressly been included within a managed service.

We are not responsible for loss of a domain caused by a client failing to renew it where renewal is outside our responsibility.

16. Third-Party Services

Websites may rely upon third-party services including hosting providers, domain registrars, analytics platforms, booking systems, maps, fonts, APIs, development platforms, email services and payment providers.

Third-party providers may change their pricing, functionality, terms or availability.

We cannot guarantee the continued availability or performance of services outside our control.

Where changes to a third-party service require significant additional work or introduce additional costs, these may be quoted separately.

17. Website Care

Website Care — £75 per month

Website Care is designed for clients who want We Forge Growth to manage the ongoing technical operation of their website.

Website Care may include:

• Managed website hosting
• SSL and security management
• Website monitoring
• Backups where applicable
• Technical maintenance
• Domain and DNS assistance
• Technical support
• Performance monitoring
• Up to 30 minutes of minor website amendments per month

Minor amendments may include:

• Updating existing text
• Replacing an existing image
• Updating contact details
• Small content changes

Unused amendment time does not roll over into subsequent months.

Website Care does not include:

• Additional pages
• Major redesign work
• New functionality
• Significant content creation
• Large-scale website changes

These can be quoted separately where appropriate.

The first Website Care payment becomes due when the website is launched, unless otherwise agreed.

Thereafter, Website Care is billed monthly in advance using the agreed recurring payment method.

18. Website Care Plus

Website Care Plus — £175 per month

Website Care Plus is designed for businesses that want us to both maintain their website and continually monitor and optimise its performance and search visibility.

Website Care Plus includes the agreed Website Care services plus:

• Up to 60 minutes of minor website amendments per month
• Google Analytics monitoring
• Google Search Console monitoring
• SEO health monitoring
• Technical SEO improvements
• Existing-page SEO optimisation
• Page-title and meta-description optimisation
• Search visibility monitoring
• Google Business Profile health checks where applicable
• A simple website performance summary

Unused amendment time does not roll over.

Website Care Plus is an ongoing website optimisation and monitoring service. It is not a full digital-marketing or SEO campaign.

Unless separately agreed, it does not include:

• Paid advertising
• Social media management
• Regular blog writing
• Large-scale link-building campaigns
• Major new landing-page creation
• Full digital-marketing campaigns

The first Website Care Plus payment becomes due when the website is launched, unless otherwise agreed.

Thereafter, Website Care Plus is billed monthly in advance using the agreed recurring payment method.

19. SEO and Search-Engine Performance

We design websites with sensible technical and on-page SEO foundations. Website Care Plus provides additional ongoing monitoring and optimisation.

However, search-engine rankings depend upon many factors outside our control, including competition, search-engine algorithms, website authority, content, backlinks, location and competitor activity.

We therefore cannot guarantee specific Google rankings, search positions, website traffic, enquiries, sales or other commercial results.

Any projections, recommendations or examples relating to SEO should not be regarded as guarantees of future performance.

20. Hosting and Website Availability

Where hosting is provided through Website Care or Website Care Plus, we will take reasonable steps to provide a reliable service.

However, no hosting or internet infrastructure can guarantee uninterrupted operation.

We are not responsible for temporary outages caused by maintenance, infrastructure failures, cyber incidents, third-party providers or circumstances outside our reasonable control.

21. Ownership and Intellectual Property

Unless otherwise agreed, ownership of original website design work created specifically for your project will transfer to you once all amounts due for the project have been paid in full.

This is subject to any third-party rights, licences and platform restrictions.

Third-party software, frameworks, fonts, stock imagery, plugins, libraries, platforms and other licensed material remain subject to their respective ownership and licensing terms.

We retain ownership of our pre-existing knowledge, processes, reusable components, development methods, systems, templates and general know-how.

22. Portfolio Use

Unless you ask us not to, We Forge Growth may display the completed website within our portfolio and use reasonable screenshots or references to the project to demonstrate our work.

We may identify your business as a client for this purpose.

If confidentiality is required, this should be agreed with us in writing.

23. Client Website Legal Compliance

You are responsible for ensuring that your business and the content published on your website comply with laws and regulations applicable to your activities.

Unless specifically commissioned and agreed otherwise, We Forge Growth does not provide legal, tax, regulatory or professional compliance advice.

Any template legal wording or website policies we assist with should be reviewed by the client for suitability to their particular circumstances.

24. Limitation of Liability

We will provide our services with reasonable care and skill.

To the fullest extent permitted by law, We Forge Growth will not be responsible for indirect or consequential losses, loss of anticipated profits, loss of business opportunities or losses resulting from matters outside our reasonable control.

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

Where permitted by law, our total liability arising from a particular project or service will not exceed the amount paid to us for the service giving rise to the claim.

25. Website Care Cancellation

Website Care and Website Care Plus are ongoing monthly services unless a different arrangement is agreed in writing.

Either party may cancel Website Care or Website Care Plus by providing 60 days' written notice.

Monthly charges remain payable throughout the 60-day notice period and the service will continue to be provided during that period.

Where hosting forms part of the service, the client is responsible for arranging alternative hosting before the end of the notice period if they wish to move the website to another provider.

We will reasonably cooperate with the transfer of the website, subject to:

• All outstanding invoices being paid
• Applicable third-party licensing restrictions
• Platform limitations
• Any reasonable technical requirements

Website migration, transfer work or configuration of third-party hosting that falls outside the Website Care service may be charged separately.

Any additional charge will be explained before the work is undertaken.

We will not intentionally prevent a client from transferring their website or domain to another provider once outstanding amounts have been settled.

26. Recurring Payments

Website Care and Website Care Plus fees should normally be collected through an agreed recurring payment method.

By subscribing to one of these services, you authorise the agreed monthly payment to be collected until the service is cancelled in accordance with these Terms.

If a recurring payment fails, we will normally contact you and provide a reasonable opportunity to bring the account up to date.

Where payments remain overdue, we reserve the right to suspend Website Care services and, where applicable, hosting until outstanding amounts have been paid.

We will take reasonable steps to contact you before suspending a live website for non-payment.

27. Termination

We may suspend or terminate services where:

• Invoices remain materially overdue
• A client seriously breaches these Terms
• A client requests unlawful, abusive or prohibited content or activity
• Continuing to provide the service would expose us to material legal, security or reputational risk

Where reasonably practicable, we will communicate with the client before terminating services.

28. Force Majeure

We will not be liable for delays or failures caused by events outside our reasonable control.

These may include major internet outages, hosting infrastructure failures, natural disasters, government action, widespread cyber incidents or failures of essential third-party services.

29. Changes to These Terms

We may update these general Terms from time to time.

Changes will not retrospectively alter an already agreed fixed-price website project unless both parties agree or the change is required by law.

Updated Terms may apply to future projects and future periods of ongoing services.

30. Governing Law

These Terms are governed by the laws of England and Wales.

The courts of England and Wales will have jurisdiction, subject to any mandatory rights that may apply to consumers.
